Terms of Service

These draft terms describe how SceneGate intends its platform and preview tools to be used. SceneGate is under active development, and several features referenced here are previews or planned capabilities rather than completed systems.

By accessing or using SceneGate (the "Platform"), you agree to these Terms of Service. If you do not agree, please do not use the Platform.

SceneGate may update these terms as the product evolves. Material changes will be reflected by an updated date, and continued use after changes take effect indicates acceptance of the revised terms.

SceneGate is a platform under development that aims to help independent artists, venues, and promoters connect. Depending on what has been released, it may provide tools for artist and venue discovery, profiles, media links, tour planning, booking inquiries, messages, electronic press kits, technical and hospitality riders, stage plots, venue rules, artist requirements, contract previews, and related touring-document workflows.

Some features described in these terms may be previews or planned capabilities. References to a feature do not guarantee that it is currently available, complete, or operating as a production system.

SceneGate is intended for users who are legally able to enter agreements applicable to their use of the service. Account eligibility and any age requirements must be finalized before account registration launches.

Where account features are available, you agree to provide accurate information, to keep it current, and to be responsible for activity under your account. Real authentication and account persistence are not represented as active unless they have been implemented and announced.

You remain responsible for independently verifying the people, organizations, dates, venues, payment terms, technical requirements, legal obligations, insurance, permits, safety, taxes, and performance terms relevant to any interaction arranged through or informed by the Platform.

You agree not to use the Platform to:

  • Post false, misleading, or fraudulent information
  • Harass, threaten, or abuse other users
  • Use the Platform for any unlawful purpose
  • Scrape, data-mine, or automatically collect data from the Platform
  • Impersonate another person, band, venue, or promoter
  • Interfere with the Platform’s operation, integrity, or security

You retain ownership of content you submit. You grant SceneGate only the permissions reasonably necessary to display, process, store, and deliver that content through the service. The exact production license should be reviewed by counsel before launch.

You must have the authority to upload and share the content you submit, and you must not infringe intellectual-property, privacy, publicity, or contractual rights. If upload and storage features are enabled, additional terms describing storage and handling will apply.

You must have permission to publish the media, photographs, logos, biographies, quotes, and rider documents you make available through the Platform.

External music and media linked or embedded through the Platform remain hosted by, and subject to, the terms of the relevant third-party platforms. SceneGate does not claim ownership of third-party music or video.

Booking-related tools are intended to help users organize inquiries and information. SceneGate is not currently a party to user-to-user performance agreements unless explicitly stated in a future signed service agreement.

Preview tools do not themselves create binding agreements. Demo forms, preview contracts, and unsigned documents are not legally executed. SceneGate does not process payments, hold funds, guarantee bookings, guarantee attendance or payment, verify every user, or resolve every dispute.

SceneGate may provide preview or future tools to help organize technical riders, hospitality riders, stage plots, input lists, equipment requirements, venue policies, artist requirements, load-in instructions, soundcheck details, settlement terms, safety requirements, accessibility requirements, contracts, rules and regulations, and revision or approval workflows.

These tools may provide templates and organizational assistance only. You are responsible for reviewing accuracy and should obtain legal, technical, safety, and insurance advice where appropriate. Generated or previewed content is not a substitute for professional advice, and SceneGate does not warrant that any template satisfies a particular jurisdiction or venue.

The Platform may link to or embed third-party services. Those services operate under their own terms and policies, and SceneGate does not control them. Opening or playing external media may communicate information to the relevant provider.

Because SceneGate is under active development, features may change, be incomplete, or be unavailable. We do not guarantee uninterrupted or error-free operation.

The Platform is provided "as is" and "as available" without warranties of any kind, to the extent permitted by applicable law. SceneGate does not guarantee bookings, attendance, payment, venue safety, performance quality, or dispute resolution.

To the extent permitted by applicable law, SceneGate is not liable for indirect, incidental, special, consequential, or punitive damages, or for losses arising from interactions between users. Final liability terms should be reviewed by counsel before production launch.

You agree to be responsible for your own use of the Platform and your content, and, to the extent permitted by applicable law, to hold SceneGate harmless from claims arising out of that use. The exact indemnification language should be finalized by counsel.

SceneGate may suspend or limit access to the Platform to protect users or the service. Where account deletion features are available, you may remove your account through your dashboard. Handling of any associated data on termination will follow the production data practices documented before launch.

We may revise these terms as the product matures. The "last updated" date will reflect the latest version. We encourage you to review the terms periodically.

Governing law, venue, and any dispute-resolution process have not been finalized and will be documented before production launch. This draft does not establish a specific jurisdiction, arbitration provision, or class-action waiver, and nothing here should be read to do so until reviewed and published by counsel.
